Terms & Conditions
1. Definitions
1.1 “Company” refers to Total Dynamic Solution Sdn Bhd.
1.2 “Client” refers to the purchaser of the solar photovoltaic (PV) system.
1.3 “System” refers to the solar PV system comprising solar panel/(s), inverter/(s), mounting structures, wiring, battery/(ies) and all associated components.
1.4 “Agreement” refers to this Terms & Conditions document together with the quotation.
2. Scope of Work
2.1 The Company shall supply, deliver, install, test and commission the System in accordance with the agreed quotation.
2.2 This Agreement applies only to installations consisting of at least eight (8) solar panels.
2.3 Any additional works not expressly stated in the quotation (including but not limited to roof repair, structural reinforcement, electrical upgrades or civil works) shall be subject to additional charges upon prior written approval by the Client.
3. Pricing & Payment Terms
3.1 The total contract price shall be as stated in the official quotation issued by the Company.
3.2 Payment terms are as follows:
Down Payment: [20%-30%] upon acceptance of quotation.
Balance Payment: Full remaining balance payable after completion of system set up.
3.3 Payments shall be made via cash, bank transfer or other approved payment methods.
3.4 The Company reserves the right to suspend work, delay commissioning or withhold warranties in the event of non-payment.
4. Installation Timeline
4.1 Installation shall commence within a reasonable timeframe upon receipt of the down payment and all necessary approvals.
4.2 Estimated completion timelines are indicative only and subject to weather conditions, site readiness and authority approvals.
4.3 The Company shall not be held liable for delays arising from circumstances beyond its control.
5. Client Responsibilities
5.1 The Client shall provide safe, clear and reasonable access to the installation site throughout the project duration.
5.2 The Client warrants that the building structure, including the roof, is suitable and structurally sound for installation.
5.3 The Client shall obtain all necessary permissions from property owners, management bodies or relevant authorities unless otherwise agreed.
5.4 The Client shall ensure timely payments in accordance with the agreed schedule.
6. Regulatory Compliance
6.1 The installation shall comply with all applicable laws, regulations and guidelines in Malaysia, including requirements set by Tenaga Nasional Berhad (TNB) and Sustainable Energy Development Authority (SEDA) Malaysia.
6.2 Where applicable, the Company may assist in applications under the Accelerated Transition Action Programme (ATAP) scheme or similar programmes.
6.3 All approvals, including grid connection and programme participation, are subject to the discretion of the relevant authorities and are not guaranteed by the Company.
7. Warranty
7.1 Solar panels are covered by manufacturer warranties (typically 5-10 years).
7.2 Inverters are covered by manufacturer warranties (typically 5-10 years).
7.3 The Company provides a workmanship warranty for a period of [1 year] from the date of installation.
7.4 Batteries are covered by manufacturer warranties (typically 5-10 years).
7.5 Warranty coverage excludes defects or damage arising from:
Misuse, negligence or improper handling.
Unauthorized modification or repair.
Natural disasters, lightning or external events.
Normal wear and tear.
8. Maintenance & Services
8.1 Routine maintenance is not included unless expressly stated in the quotation.
8.2 The Client is responsible for regular cleaning and basic maintenance to ensure optimal system performance.
8.3 The Company may offer separate maintenance or service packages upon request.
9. Performance Disclaimer
9.1 Any energy generation estimates are based on standard test conditions and typical environmental factors in Malaysia.
9.2 Actual performance may vary due to weather conditions, shading, system orientation and other environmental variables.
9.3 The Company does not guarantee specific energy output, savings or financial returns.
10. Ownership & Risk
10.1 Ownership of the System shall remain with the Company until full payment has been received.
10.2 Upon full settlement, ownership shall transfer to the Client.
10.3 Risk of loss or damage to the System shall pass to the Client upon completion of installation.
11. Cancellation & Refund Policy
11.1 Any cancellation after acceptance of quotation may result in forfeiture of the down payment.
11.2 Materials that have been procured, ordered or customized for the project are strictly non-refundable.
11.3 Any approved refunds shall be processed within a reasonable timeframe.
12. Limitation of Liability
12.1 The Company shall not be liable for any indirect, incidental or consequential damages, including loss of profit or savings.
12.2 The Company’s total liability shall be limited to the total amount paid by the Client under this Agreement.
13. Force Majeure
13.1 The Company shall not be liable for any failure or delay in performance due to events beyond its reasonable control, including but not limited to natural disasters, acts of government, pandemics, labor disputes or supply chain disruptions.
14. Governing Law
14.1 This Agreement shall be governed by and construed in accordance with the laws of Malaysia.
15. Dispute Resolution
15.1 The Parties shall first attempt to resolve any dispute amicably through good faith negotiations.
15.2 If unresolved, the dispute shall be submitted to the jurisdiction of the courts of Malaysia.
16. Letter of Consent for Disclosure of Credit Information
16.1 Pursuant to the Credit Reporting Agencies Act 2010 (“Act”), You (the Client) hereby give Total Dynamic Solution Sdn Bhd consent to obtain and/or disclose any Credit Information (as defined in the Act) relating to your company from and/or to Experian Information Services (Malaysia) Sdn Bhd (532271-T) or any source deemed appropriate to verify your credit history directive in relation to your company’s credit application or transaction with Total Dynamic Solution Sdn Bhd for the following purposes (but not limited to): Opening of account, Credit evaluation, Credit/account review, Credit/account monitoring, Debt recovery purposes, Scoring Solutions, Legal Documentation and/or action consented to a contract or facility granted. This consent shall remain applicable as long as your company is maintaining an account/loan/credit/any transaction with Total Dynamic Solution Sdn Bhd.
17. Privacy Policy
17.1 Data Collection: Total Dynamic Solution Sdn Bhd (“the Company”) collects personal and company information necessary to fulfil the Scope of Work, process payments and comply with regulatory requirements. This may include names, contact details, site addresses and financial information.
17.2 Use of Information: Information provided by the Client will be used for:
- Project management, installation and commissioning of the System.
- Processing applications for the Accelerated Transition Action Programme (ATAP) scheme or other regulatory approvals.
- Credit evaluation and debt recovery purposes as detailed in Section 16.
- Providing warranty support and maintenance services.
17.3 Disclosure of Information: The Company may disclose Client information to:
- Relevant authorities such as Tenaga Nasional Berhad (TNB) and Sustainable Energy Development Authority (SEDA) Malaysia for grid connection and compliance.
- Third-party manufacturers for the registration of product warranties.
- Credit reporting agencies, specifically Experian Information Services (Malaysia) Sdn Bhd, as consented to in Section 16.1.
17.4 Data Security: The Company shall take reasonable technical and organizational measures to protect Client data against unauthorized access, loss or misuse.
17.5 Consent: By entering into this Agreement, the Client consents to the collection, processing and disclosure of their personal and company data in accordance with the Personal Data Protection Act 2010 and the terms herein.
18. Entire Agreement
18.1 This document, together with the quotation constitutes the entire agreement between the Parties and supersedes all prior communications, representations or agreements.
